Terms of Service

Zencia.AI delivers a privacy‑focused, fully offline AI assistant that runs entirely on your local machine. It securely enhances business workflows without sending any data to external servers unless you opt into optional online features.

By downloading, installing, or otherwise using the Services, you confirm that you:

• Are at least 18 years old or of legal age in your jurisdiction.
• Have the legal authority to enter into a binding agreement.
• If you do not meet these requirements, do not use our Services.

Subject to your compliance with these Terms, Zencia grants you a limited, revocable, non-exclusive, non-transferable license to install and use the software for personal, educational, or internal business purposes.

Zencia AI Tech Private Limited and/or its licensors retain all rights, title, and interest in all intellectual property associated with the software, including models, documentation, logos, and trademarks. These Terms do not provide you with any IP rights beyond the usage license.

Zencia.AI's Services include voice AI features, including but not limited to voice interaction, speech recognition, and voice synthesis. These features are provided to enhance user experience through natural language processing. You agree to use these features responsibly and in compliance with applicable laws.

By utilizing the Voice AI features, you acknowledge that any voice data inputted or processed through the Service may be used by Zencia.AI for the purpose of delivering the service. This data is processed entirely within your local environment unless explicitly stated otherwise. Zencia.AI does not collect, store, or transmit voice data for external processing without your explicit consent.

Zencia.AI may offer the ability to create customized voices, including voice cloning. If you choose to use these features, you retain all rights to the voice model created. Zencia.AI will not store or use any custom voice models beyond your local environment unless you provide specific consent for such use.

Zencia.AI strives to provide accurate voice recognition and synthesis, but due to the limitations inherent in AI and speech technologies, Zencia cannot guarantee 100% accuracy. You agree that the Voice AI features may not always perform as expected and that Zencia.AI is not liable for any inaccuracies, misinterpretations, or failures of the Voice AI systems.

Zencia.AI prioritizes user privacy and the security of your voice data. Unless explicitly agreed upon for optional online features, no voice data is transmitted or stored externally. Zencia.AI does not share, sell, or otherwise disclose your voice data to third parties without your prior consent.

You agree that you will:

• Use the Service lawfully and responsibly;
• Not use it for harmful, illegal, infringing, or fraudulent purposes;
• Secure your device and data;
• Comply with all applicable laws and regulations in your jurisdiction.

• We may provide periodic updates to improve functionality, security, or compliance.
• You are encouraged to install updates promptly.
• Zencia reserves the right to modify or discontinue any part of the Service with or without notice at our discretion.

Zencia may offer both free and paid versions. Any paid licensing or subscriptions will be outlined at the time of purchase, including payment terms, billing, renewal, and refund policies. You are responsible for all applicable taxes, duties, or fees related to purchase and use.

The software may incorporate open-source or third-party libraries and models. Use of such components is governed by their respective licenses and not these Terms, unless stated otherwise.

• We may suspend or terminate your license for any breach of these Terms.
• Upon termination, you must stop using the Service and delete all copies.
• Termination does not release you from liability for acts or omissions occurring before termination.

You agree to comply with export controls and sanctions governed by Indian law and applicable international regulations. You may not export or re-export the software to prohibited jurisdictions.

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes must be first addressed through informal negotiations. If unresolved, disputes shall be resolved exclusively by courts in Lucknow, Uttar Pradesh.

We may update these Terms occasionally. You will be notified via email or through the software interface. Continued use after updates constitutes acceptance of the revised Terms.

These Terms, along with any appendices, the Privacy Policy, and any licensing terms, form the complete agreement between you and Zencia regarding the Services, superseding any prior agreements.
